Terms of Service

1. Acceptance and Eligibility

These Terms of Service ("Terms") constitute a legally binding agreement between you and BankRegReports LLC ("BankRegReports," "we," "us," or "our"). By accessing or using the website at bankregreports.com or any related services (collectively, the "Service"), you accept and agree to be bound by these Terms and our Privacy Policy.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are 18 or older. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Modifications

We reserve the right to revise these Terms at any time. We will notify registered users of material changes via email with at least 14 days' notice before the revised Terms take effect. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service and cancel any active subscription before the effective date.

3. Account and Password

To access most features of the Service you must create an account. You agree to provide accurate, complete, and current information at registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account or any other breach of security. We will not be liable for any losses caused by unauthorized use of your account.

You may sign in using your email and password or via Google OAuth. Use of Google Sign-In is subject to Google's terms of service and privacy policy in addition to these Terms.

4. Description of Service

BankRegReports is a web-based platform for accessing, visualizing, and analyzing publicly available U.S. bank regulatory data, including FFIEC Call Report filings and UBPR (Uniform Bank Performance Report) data published by U.S. federal banking regulators. Platform features include:

• Bank financial dashboards, scorecards, and peer comparisons
• Loan concentration, capital adequacy, liquidity, and deposit analysis
• Securities portfolio analysis and rate environment tracking
• M&A screener and bank failure/acquisition history
• ML-based risk intelligence scoring
• Custom peer group construction and peer ranking tools
• Watchlist with configurable email alerts
• Bank screener and data export tools

We reserve the right to modify, add, suspend, or discontinue any feature of the Service at any time, with or without notice.

5. Subscriptions and Billing

Plans and Auto-Renewal

Access to paid features requires a paid subscription. Subscriptions are available on a monthly or annual basis as described on our pricing page. Subscriptions automatically renew at the end of each billing period (monthly or yearly, as selected) unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis.

Payment Processing

All payments are processed by Stripe, Inc. We do not store your credit card number or payment credentials. Payment transactions are encrypted via SSL. Stripe's handling of payment data is governed by Stripe's Terms of Service and Privacy Policy.

Cancellation

You may cancel your subscription at any time through your account billing settings or by contacting us. Cancellation takes effect at the end of the current paid billing period — you retain access to paid features until then. Cancellation stops future charges but does not generate a refund for the current or any prior billing period.

No Refunds — All Sales Final

All fees are non-refundable and all sales are final. The Service consists of digital products and online services delivered and made available to you immediately upon purchase. Except where a refund is expressly required by applicable law and cannot be waived, we do not provide refunds, returns, exchanges, credits, or prorated refunds for any reason — including change of mind, dissatisfaction, non-use or under-use of the Service, failure to cancel before an automatic renewal, partial billing periods, or termination of your account for violation of these Terms. Where permitted by law, you consent to immediate performance of the Service and acknowledge that fees are non-refundable for that reason.

Payment Disputes and Chargebacks

If you believe a charge is in error, you agree to contact us first at [email protected] so we can resolve it in good faith before initiating any payment dispute. Initiating a chargeback, payment reversal, or dispute on a valid charge — rather than cancelling through the proper channels — is a breach of these Terms. We reserve the right to suspend or terminate your account immediately, contest the dispute with evidence of your acceptance of these Terms and your use of the Service, and recover the disputed amount together with any associated fees and reasonable costs of collection.

Price Changes

We may change subscription prices. We will give existing subscribers at least 30 days' advance notice via email before a price increase takes effect. Your continued subscription after the notice period constitutes acceptance of the new price.

Taxes

Subscription prices are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in your jurisdiction.

6. No Investment Advice

The content and analytics provided through BankRegReports are for informational and research purposes only and do not constitute investment advice, financial advice, trading advice, or any other type of advice. BankRegReports is not a registered investment adviser, broker-dealer, bank, or financial institution. Nothing on the Service should be construed as a recommendation or solicitation to buy, sell, or hold any security, financial instrument, or interest in any bank or financial institution.

BankRegReports is not acting as a fiduciary for any user. The platform aggregates and displays publicly available regulatory data to help users conduct their own research. All investment and financial decisions remain solely your responsibility. You should consult a qualified financial adviser before making any investment decision.

Past financial performance of any bank as reflected in regulatory filings does not guarantee or predict future results. Bank financial conditions can deteriorate rapidly and without warning.

7. No Legal or Regulatory Advice

BankRegReports is neither a law firm nor a certified public accounting firm, and nothing on the Service constitutes legal, regulatory, compliance, accounting, or tax advice. Information about regulatory capital ratios, examination ratings, enforcement actions, or other supervisory matters is provided for informational purposes only and is not a substitute for advice from a licensed attorney, CPA, or regulatory compliance professional.

8. Data Accuracy Disclaimer

All bank financial data on the platform is sourced from publicly available regulatory filings submitted to the FFIEC, FDIC, Federal Reserve, and OCC. This data is presented as reported by the submitting institutions and is subject to restatement, revision, or correction by the institutions or regulators at any time.

Data may be lagged, outdated, or otherwise inaccurate due to collection and processing timelines. BankRegReports does not audit, verify, or certify the accuracy of underlying regulatory filings. We expressly disclaim any liability for decisions made in reliance on information displayed through the Service. You should independently verify any data before relying on it for any purpose.

ML-based risk scores and analytical outputs generated by BankRegReports are statistical models and do not constitute regulatory ratings, supervisory assessments, or findings by any government agency.

9. Intellectual Property

Our Property

The Service — including its design, software, proprietary analytics, scoring methodologies, visual interface, and branding — is owned by BankRegReports LLC and protected by copyright, trademark, and other intellectual property laws. You may use content from the Service for your own personal or internal business research purposes only. You may not reproduce, distribute, publicly display, or create derivative works from our proprietary content without our express written permission.

Public Domain Data

The underlying bank regulatory data (FFIEC Call Reports, UBPR, FDIC statistics) is published by U.S. government agencies and is in the public domain. Nothing in these Terms restricts your right to access that data directly from the government sources.

Your Exports

You retain ownership of reports and exports you generate using the Service. You acknowledge that exported data is derived from public regulatory filings and our platform analytics. You agree not to misrepresent the source or accuracy of any exported data or to use it in a way that violates these Terms.

Feedback

If you submit ideas, suggestions, feature requests, or other feedback about the Service, you grant BankRegReports a perpetual, irrevocable, worldwide, royalty-free, fully transferable license to use, reproduce, modify, and incorporate that feedback into the Service or any other product for any purpose, without any obligation, attribution, or compensation to you.

10. Prohibited Activities

You agree not to:

• Use automated scripts, bots, spiders, crawlers, or scraping tools to access, index, or extract data from the Service in bulk, or at a rate that imposes unreasonable load on our servers
• Circumvent, disable, or interfere with rate limiting, authentication, IP blocking, or other security or access controls
• Attempt to gain unauthorized access to any account, server, network, or system associated with the Service
• Introduce viruses, trojans, worms, logic bombs, or other malicious code
• Launch denial-of-service or distributed denial-of-service attacks against the Service
• Resell, sublicense, or redistribute access to the Service or its underlying data to third parties without our express written consent
• Reproduce or re-publish platform data or analytics in a competing product or service
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Harvest or collect email addresses or other user contact information from the Service

We reserve the right to suspend or terminate accounts that violate these restrictions, with or without prior notice, and to take any other action we deem appropriate, including reporting violations to law enforcement.

11. Data Licensing

Automated or bulk data extraction beyond what is available through our designated export tools requires a separate written data licensing agreement. Contact us at [email protected] for data licensing inquiries.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICE OR SERVERS MAKING IT AVAILABLE ARE FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT THE INFORMATION PROVIDED WILL BE COMPLETE, ACCURATE, OR TIMELY.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BANKREGREPORTS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE ACTUAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow exclusion of implied warranties or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless BankRegReports LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any inaccurate information you provide to us.

15. Governing Law, Dispute Resolution, and Class Action Waiver

These Terms are governed by and construed in accordance with the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict of law principles.

All claims arising out of or relating to these Terms or the Service must be brought as an individual claim within one (1) year after the claim arises, or the claim is permanently waived.

Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent unauthorized use of the Service.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All claims must be brought individually, not as part of a class or representative proceeding.

16. Third-Party Links and Services

The Service may contain links to third-party websites or integrate with third-party services (e.g., Stripe for billing, Google for authentication). We do not control and are not responsible for the content, accuracy, privacy practices, or terms of those third-party services. Your use of any third-party service is at your own risk and governed by that service's own terms.

17. Termination

Either party may terminate this agreement at any time. You may close your account through account settings or by contacting us at [email protected]. We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including for any violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature survive termination — including Sections 6, 7, 8, 9, 12, 13, 14, and 15 — will remain in effect.

18. General Provisions

Entire agreement. These Terms and our Privacy Policy constitute the entire agreement between you and BankRegReports regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations, including in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including outages of third-party infrastructure, telecommunications failures, natural disasters, or acts of government.

Electronic communications. By using the Service, you consent to receive communications from us electronically — including notices, agreements, disclosures, billing receipts, and other information — by email or by posting on the Website. You agree that all such electronic communications satisfy any legal requirement that a communication be in writing, and that electronic records and signatures have the same legal effect as paper records and handwritten signatures.

Export and sanctions compliance. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or sanctions, and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export-control and economic-sanctions laws and not to use the Service in violation of them.
